1. Platform Access and Use

A100 Arms grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your personal, internal business purposes, subject to these Terms. Access to the Platform is provided on an invite-only basis. You agree to keep your account information confidential and are responsible for all activities that occur under your account.

2. Licensed Real Estate Professionals

You acknowledge that the team members and operators of A100 Arms are licensed real estate professionals in various states. However, the Platform is an informational tool and does not constitute a brokerage relationship, financial advice, or a solicitation to buy or sell any security. All users are encouraged to seek independent legal and financial counsel.

3. Electronic Signatures & ESIGN Act Compliance

The Platform includes features for electronically signing documents, such as Confidentiality Agreements (CAs) and Letters of Intent (LOIs). Your use of these features is subject to the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act).

• Consent to Electronic Records: By using the e-signature features, you consent to receive and conduct business electronically. Before you sign any document, we will provide you with a clear disclosure regarding your rights to receive records in non-electronic form, to withdraw consent, and the hardware and software requirements for accessing and retaining electronic records.
• Intent to Sign: An affirmative act, such as clicking a button or checkbox, is required to execute a signature, confirming your intent to sign the document and be legally bound by its terms.
• Record Integrity and Retention: We maintain a secure, unalterable audit trail for all electronically signed documents, including the signing process, timestamps, and IP addresses. These records are retained in accordance with legal requirements and our internal policies. You will have the ability to download and print copies of all documents you sign.

5. Prohibited Activities

You agree not to:

• Use the Platform for any illegal purpose or in violation of any local, state, national, or international law.
• Share, distribute, or reproduce any confidential information obtained from the Platform without explicit written permission.
• Reverse engineer, decompile, or disassemble any portion of the Platform.
• Use any automated system to access the Platform in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.

6. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the Platform will meet your requirements, be uninterrupted, timely, secure, or error-free.

7. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall A100 Arms, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Platform.

8. Changes to Terms

We reserve the right, in our sole discretion, to change these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of the Platform after any such change constitutes your acceptance of the new Terms.
